These Terms govern your access to and use of our website, landing pages, tools — including the AI IVF Growth Engine™ and ROI Clarity Calculator™ — and services. By booking a call or entering a service agreement with us, you agree to be bound by these Terms.
01Description of Services
Manoj Digital provides Meta Ads-based lead generation and growth marketing services primarily for IVF/fertility clinics, and adjacent verticals (dental, med spa, legal, real estate), including but not limited to:
Ad strategy, creative, and campaign management
Landing page and funnel development
Lead capture, nurture, and reporting systems
Proprietary frameworks such as the AI IVF Growth Engine™ and 4-Step Formula
Specific deliverables, timelines, and pricing for any engagement will be outlined in a separate proposal, invoice, or service agreement ("Order Form"), which forms part of these Terms once accepted.
02No Guarantee of Results
Marketing outcomes depend on many factors outside our control, including but not limited to: your clinic's offer, pricing, sales/intake process, staff follow-up speed, market conditions, ad platform policies, seasonality, and budget levels.
We do not guarantee a specific number of leads, patients, appointments, conversions, or return on ad spend (ROAS). Any figures, case studies, calculators (including the ROI Clarity Calculator™), or projections shared are for illustrative purposes only and are not a promise of results. Past performance for other clients does not guarantee similar performance for you.
03Fees and Payment
Engagement typically involves a one-time setup fee and a recurring monthly management fee, as specified in your Order Form/invoice.
Payments are processed via Razorpay or other specified payment processors. By making a payment, you agree to Razorpay's applicable terms as well.
All fees are non-refundable once work has commenced, except as otherwise expressly stated in your Order Form or required by law.
Ad spend (the budget paid to Meta/Facebook for running ads) is separate from our service fees and is typically paid directly by you to the ad platform, unless otherwise agreed in writing.
Late payments may result in pause of services and/or late fees as specified in your Order Form.
04Client Responsibilities
To deliver our Services effectively, you agree to:
Provide timely access to ad accounts, business assets, and necessary approvals
Provide accurate information about your clinic, offers, and compliance requirements
Respond to and follow up with leads generated in a timely manner
Ensure your own advertising content, offers, and intake practices comply with applicable healthcare advertising, privacy, and consumer protection laws in your jurisdiction (e.g., FTC guidelines, state healthcare advertising rules, and — where applicable — HIPAA with respect to any patient data you handle on your end)
Maintain an adequate, dedicated ad budget as advised
We are not responsible for delays or underperformance caused by your failure to meet the above responsibilities.
05Advertising Platform Compliance
You acknowledge that all campaigns are subject to Meta's (Facebook/Instagram) advertising policies, including special category restrictions for health-related advertising. Meta may reject, restrict, or disapprove ads/accounts at its sole discretion, and we are not liable for such platform actions. Ad accounts may be suspended due to platform policy enforcement unrelated to our conduct; we will make reasonable efforts to resolve such issues but cannot guarantee outcomes with the platform.
06Intellectual Property
All proprietary frameworks, methodologies, tools, and branded assets developed by Manoj Digital — including but not limited to the AI IVF Growth Engine™, 4-Step Formula, and ROI Clarity Calculator™ — remain the sole intellectual property of Manoj Digital.
Clients are granted a limited, non-exclusive, non-transferable license to use deliverables (e.g., ad creatives, landing pages built for them) solely for their own business during and after the engagement, unless otherwise agreed.
Clients may not resell, sublicense, copy, or reverse-engineer our proprietary frameworks, tools, or systems.
Any client-provided materials (logos, testimonials, clinic information) remain the property of the client, and you grant us a license to use them solely to deliver and market our Services (including as case studies, with your consent).
07Confidentiality
Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the engagement, and to use it solely for purposes of the engagement, except as required by law.
08Term and Termination
Engagements are typically month-to-month or for the fixed term specified in your Order Form.
Either party may terminate the agreement with Insert Notice Period, e.g. 14 or 30 days written notice.
Upon termination, fees for work already performed and ad spend already committed remain due.
We reserve the right to suspend or terminate Services immediately in cases of non-payment, abusive conduct, or violation of these Terms.
09Limitation of Liability
To the maximum extent permitted by law:
Manoj Digital's total liability for any claim arising from the Services shall not exceed the total fees paid by the Client to Manoj Digital in the Insert Period, e.g. 3 months preceding the claim.
We shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost patients/leads, or business interruption.
We are not liable for actions taken by third-party platforms (Meta, Calendly, Systeme.io, Razorpay, payment gateways) that are outside our control.
10Indemnification
You agree to indemnify and hold harmless Manoj Digital, its owners, and contractors from any claims, damages, or liabilities arising from: (a) your breach of these Terms; (b) your non-compliance with applicable healthcare advertising or privacy laws; or (c) content, offers, or claims made by your clinic that we advertised on your behalf and that you approved.
11Disclaimers
Our Services and any tools/calculators provided (e.g., ROI Clarity Calculator™) are provided "as is" without warranties of any kind, express or implied. We are not a law firm, healthcare compliance consultancy, or financial advisor. You are responsible for ensuring your own legal, regulatory, and healthcare compliance.
12Governing Law & Dispute Resolution
These Terms shall be governed by the laws of Insert Jurisdiction, e.g. India / State of ___, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation, and if unresolved, shall be subject to Insert: arbitration / exclusive jurisdiction of courts in ___.
Given you serve US-based clinics while operating from India, we strongly recommend finalizing this jurisdiction/arbitration clause with a lawyer familiar with cross-border service agreements.
13Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to platform outages (e.g., Meta/Facebook downtime), natural disasters, or changes in law.
14Amendments
We may update these Terms from time to time. Continued use of our Services after changes constitutes acceptance of the revised Terms. Material changes to active Order Forms will be communicated directly.
15Entire Agreement
These Terms, together with any applicable Order Form/proposal, constitute the entire agreement between you and Manoj Digital regarding the Services, superseding any prior agreements or communications.
